Welcome to MycoQR. By accessing or using our service, you agree to be bound by these Terms of Service. Please read them carefully before using our platform.

1. Acceptance of Terms

By creating an account or using MycoQR ("Service"), you agree to these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use the Service.

MycoQR reserves the right to modify these terms at any time. We will notify users of significant changes via email or in-app notification. Continued use of the Service after changes constitutes acceptance of the modified terms.

2. Account Terms

2.1 Eligibility

You must be at least 18 years old to use this Service. By using MycoQR, you represent that you meet this age requirement and have the legal capacity to enter into this agreement.

2.2 Account Registration

To access certain features, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

2.3 Organization Access

MycoQR supports multi-user organizations. Organization administrators are responsible for managing team member access and ensuring all users comply with these terms.

3. Acceptable Use

MycoQR is designed for legitimate mushroom cultivation tracking and management. You agree to use the Service only for lawful purposes and in compliance with all applicable local, state, and federal laws.

You may not:

• Use the Service for any illegal cultivation activities
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the Service or its infrastructure
• Upload malicious code or content
• Resell or redistribute the Service without authorization

4. Payment Terms

4.1 Subscription Plans

MycoQR offers both free and paid subscription plans. Paid plans are billed on a recurring basis as specified at the time of purchase. You authorize us to charge your payment method for all fees incurred.

4.2 Stripe Connect Payment Processing

MycoQR includes integrated payment processing through Stripe Connect, allowing you to accept payments from your customers directly. By using this feature, you agree to:

• Platform Fee: A 3% platform fee applies to all card payments processed through MycoQR's Stripe Connect integration. This fee is automatically deducted from each transaction.
• Stripe's Terms: Your use of Stripe Connect is subject to Stripe's Connected Account Agreement, including their fees, which are separate from MycoQR's platform fee.
• Payouts: Funds from your sales are paid out directly to your connected Stripe account according to Stripe's payout schedule.

4.3 Refund Policy

When you issue a refund to your customer through MycoQR:

• The refund is processed through Stripe and returned to your customer's original payment method
• The 3% platform fee is NOT refunded. This fee compensates MycoQR for the transaction processing that has already occurred.
• Stripe may also retain their processing fees according to their policies

For MycoQR subscription refunds, please contact support within 30 days of purchase. Refunds are provided at our discretion and prorated based on usage.

5. Intellectual Property

5.1 MycoQR Property

The Service, including its design, features, and content, is owned by MycoQR and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

5.2 Your Data

You retain ownership of all data you enter into MycoQR, including cultivation records, measurements, notes, and customer information. You grant MycoQR a limited license to store, process, and display your data solely to provide the Service.

6. Data and Privacy

Your privacy is important to us. Our collection, use, and protection of your data is governed by our Privacy Policy. By using the Service, you consent to our data practices as described therein.

7. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

• Scheduled maintenance (we will provide advance notice when possible)
• Emergency repairs or updates
• Circumstances beyond our reasonable control

We are not liable for any loss or damage resulting from service interruptions.

8. Termination

8.1 By You

You may terminate your account at any time by contacting support or using the account deletion feature. Upon termination, your access to the Service will cease, and your data may be deleted according to our data retention policies.

8.2 By MycoQR

We may suspend or terminate your account if you:

• Violate these Terms of Service
• Engage in illegal or fraudulent activity
• Fail to pay applicable fees
• Abuse the Service or other users

We will provide notice before termination when reasonably possible, except in cases of severe violations.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MYCOQR AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or data
• Business interruption
• Cost of substitute services
• Cultivation losses or crop failures

Our total liability for any claims arising from your use of the Service shall not exceed the amount you paid to MycoQR in the twelve (12) months preceding the claim.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. MYCOQR DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

MycoQR does not guarantee that the Service will meet your specific cultivation requirements or that your cultivation operations will be successful. The Service is a tracking and management tool, not agricultural advice.

11. Indemnification

You agree to indemnify and hold harmless MycoQR and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from:

• Your use of the Service
• Your violation of these terms
• Your violation of any third-party rights
• Your cultivation activities

12. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the jurisdiction in which MycoQR operates, without regard to conflict of law principles. Any disputes arising from these terms shall be resolved in the courts of that jurisdiction.
